Reporting to General Counsel, the Corporate Counsel will provide counsel and advice to senior leaders in the Company’s operations, investments and finance departments.

 

Key Responsibilities

  • Provides counsel and advice to senior leaders in the Company’s operations, investments and finance departments.
  • Drafts and oversees all tenant leasing matters, including drafting and negotiating new tenant leases, tenant lease amendments, agreements with lenders (including SNDAs), estoppels and managing tenant default matters.
  • Supports and negotiates legal aspects of acquisitions, dispositions and financing transactions, and works closely with outside counsel as needed. This includes managing all aspects of due diligence, such as title and survey review, review of environmental documentation, review of zoning compliance, review and drafting of corporate resolutions, and tenant related matters.
  • Manages legal aspects of construction matters and tenant improvements, including negotiation of construction contracts.
  • Drafts and oversees other corporate contracts and agreements, including property management and service agreements and oversees corporate entity maintenance.
  • Manages new legal matters as they arise.
  • Serves as a key legal resource throughout the organization.

Skills, Experiences, Qualifications

Required Qualifications, Skills & Experiences

•Law degree and current admission to practice law in the State of Minnesota

•Minimum 4-7 years of experience in a law firm or corporate legal department

•Commercial real estate transactional experience, including leasing, acquisition and development

•Demonstrated excellence in drafting, reviewing, revising and negotiating relevant documents

Preferred Qualifications, Skills & Experiences

•3+ years in an in-house counsel position inside a small to medium sized entrepreneurial business

•Experience with financing, joint ventures and/or private investment vehicles

•Experience with loan documents

•Experience with investment due diligence requirements

•Working knowledge of financial statements
